This work is based on previous studies by the author and by Fernanda Pontual. To determine the selling price of an enterprise, it takes into consideration the viewpont of the offer, that is, of an entrepreneur searching for determining which minimum price he will ask for his enterprise. It considers therefore, just an aspect, but the way of analysing proposals can be an inspiration for analysis under the buyer's standpoint. Firstly, the concepts of equit value (static value) and cash flow current value (dynamic value) are carefully examined; resume the question of optimization and tries to develop a conceptual outline quite detailed. It is also considered aspects such as the choice of discount rates to be utilized as well as important aspects of cash flow notions.
